Introduction
These Terms of Service (the “Terms”) govern your access to and use of Hudson Society’s website hudsonsociety.com (the “Site”) and any events, products, or services provided by Hudson Society (collectively, the “Services”). By accessing or using the Sites or by attending any Hudson Society events, you agree to be bound by these Terms.
Changes to Terms
Hudson Society may modify these Terms from time to time. If we make material changes, we will provide notice on the Sites or via other reasonable means. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
Privacy policy
Your use of the Services is also governed by Hudson Society’s Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy to understand how we collect, use, and share information.
Eligibility
You must be at least 21 years old to use the Services. By using the Sites or attending events, you represent and warrant that you meet this age requirement and that you will comply with these Terms.
Accounts and security
If you create an account, you must provide accurate information and keep your account credentials confidential. You are responsible for all activity that occurs under your account, and you must notify Hudson Society immediately of any unauthorized use of your account.
Memberships and payments
By joining any membership program, purchase event tickets or other services, you agree to pay the applicable fees and any taxes. We may use third-party payment processors to handle transactions. You agree to be bound by the terms of those processors in addition to these Terms. We may suspend or terminate access for nonpayment or violation of these Terms.
Events and attendance
Attending Hudson Society events is voluntary. You must comply with all event rules and directions provided at or in connection with the event. Hudson Society reserves the right to modify, postpone, relocate, or cancel events for any reason. If an event is canceled by Hudson Society, you will be offered a credit or refund in accordance with our refund policy.
Refunds and cancellations
Cancellations before being selected for an event will receive a credit applied to your Hudson Society account for a future event. Cancellations more than 24 hours after being selected for an event: no refund. No-show to an event: a $20 fee will be charged to your payment details on file. Any refunds or credits beyond these terms are at Hudson Society’s discretion if not expressly covered by this policy. By applying to Hudson Society, you acknowledge and agree to these terms.
Disciplinary actions and termination
Hudson Society reserves the right to suspend or terminate a member’s access for behavior at an event or otherwise that is illegal, harmful, disruptive, or violates our community guidelines, in Hudson Society’s sole discretion and without refund. If a member is suspended or terminated, any prepaid amounts may be forfeited in Hudson Society’s discretion, and no refund will be issued for remaining time or benefits.
Intellectual property
All Site content, including text, graphics, logos, and images, is the property of Hudson Society or its licensors and is protected by applicable intellectual property laws. You may view and access the content for personal, non-commercial use, but you may not reproduce, distribute, modify, or create derivative works without Hudson Society’s prior written permission.
Limitation of liability
To the maximum extent permitted by law, Hudson Society provides the Services on an “as is” and “as available” basis and disclaims all warranties of any kind, whether express or implied. Hudson Society will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Services or attendance at events.
Indemnification
You agree to indemnify, defend, and hold Hudson Society harmless from and against any claims, damages, liabilities, costs, and expenses arising from your use of the Services or your violation of these Terms.
Governing law and venue
These Terms and your use of the Services are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York County, New York.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver
If Hudson Society does not enforce a right or provision of these Terms at any time, that failure does not waive Hudson Society’s right to enforce such right or provision in the future.
Entire agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Hudson Society regarding the Services and supersede all prior agreements.
